These Terms of Service ("Terms") govern your access to and use of datastars.ca and all products and services offered by DataStars AI Inc. ("DataStars," "we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada. By accessing our website, purchasing a report, using the customer portal, or engaging our services in any way, you ("Client," "you") agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use our services.

DataStars provides AI-powered risk intelligence products for the real estate, mortgage lending, and legal sectors. Our services include, but are not limited to:
We reserve the right to modify, suspend, or discontinue any service at any time.

Our services are designed for business and professional use. By using DataStars, you represent that you are: (a) at least 18 years of age; (b) acting in a professional capacity on behalf of a mortgage lender, mortgage investment corporation (MIC), law firm, insolvency trustee, or similar financial or legal institution; and (c) not using our services for any consumer credit reporting purpose.

DataStars is not a consumer reporting agency as defined under the Consumer Reporting Act (Ontario), the Business Practices and Consumer Protection Act (British Columbia), or any equivalent legislation. Our reports, scores, and analyses — including the Borrower Volatility Score and Distress Duration — are forward-looking macroeconomic commentary on occupational categories, not consumer credit reports or consumer credit scores. Our products must not be used as a factor in determining any individual's eligibility for credit, insurance, employment, or any other purpose governed by consumer reporting legislation.
You agree not to use any DataStars product or output for any purpose that would cause DataStars to be considered a consumer reporting agency under applicable law.

Access to the customer portal requires authentication via magic link email. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately at privacy@datastars.ca if you suspect unauthorized access.
We may suspend or terminate your account at any time for violation of these Terms, non-payment, or any reason at our sole discretion.

All report orders are placed through our intake system and paid via Stripe. Prices are quoted in Canadian dollars unless otherwise specified. Payment is due at the time of order for BVA products and per the payment terms quoted for Tier 1 and Tier 2 reports.
Delivery timelines stated on our website or in communications are estimates and not guarantees. DataStars will use commercially reasonable efforts to meet quoted timelines but is not liable for delays caused by third-party data sources, AACI appraiser availability, court filing delays, or other factors outside our control.
Refunds are issued at our sole discretion. Once research has commenced on a file, no refund is available. If a report cannot be completed due to data unavailability, we will notify you and offer a partial credit toward a future engagement.

All content, data, methodologies, scoring models, report templates, software, and materials provided by DataStars are and remain the exclusive property of DataStars AI Inc. or its licensors. This includes, without limitation, the Borrower Volatility Score methodology, Distress Duration model, AI displacement scoring framework, and all associated algorithms and datasets.
You receive a limited, non-exclusive, non-transferable, non-sublicensable licence to use reports and data delivered to you solely for your internal business purposes related to the specific file or portfolio for which the report was ordered. You may share reports with parties directly involved in the matter (e.g., co-counsel, mortgage committee members) but may not resell, redistribute, publish, or create derivative works from any DataStars deliverable without our prior written consent.

You are solely responsible for the accuracy and completeness of all information you provide to DataStars, including borrower profiles, property details, mortgage information, and uploaded documents. Our analysis is only as reliable as the inputs we receive. DataStars is not obligated to independently verify the accuracy of client-submitted data.
By submitting data to DataStars, you represent that you have the lawful authority to share such data with us and that doing so does not violate any applicable privacy legislation, contractual obligation, or professional duty.
Data Licence. Client grants DataStars a perpetual, royalty-free, irrevocable licence to use aggregated and de-identified data derived from Client's submissions to improve, train, and enhance DataStars' proprietary AI models and scoring methodologies. No aggregated or de-identified dataset will contain information that could reasonably be used to re-identify any individual borrower. Client represents and warrants that it has obtained all necessary consents from borrowers, guarantors, and other relevant parties to grant this right.

General. All services and deliverables are provided "as is" and "as available." DataStars makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
Not Legal, Financial, or Investment Advice. DataStars reports, scores, and analyses are intelligence products. They are not legal opinions, financial advice, investment recommendations, or appraisals (except where a Tier 2 report is explicitly certified by an AACI appraiser, and then only with respect to the certified report body). You should consult qualified legal and financial professionals before making decisions based on our deliverables.
Addendum B. The AI Employment Risk Intelligence addendum is a supplementary analytical product prepared by DataStars. It is based on publicly available occupational data, academic research, and proprietary modelling. It is not a prediction of any individual's employment outcome. It scores occupational categories, not individuals.
AACI Certification. In Tier 2 reports, the AACI appraiser's certification applies only to the report body prepared in accordance with CUSPAP. The appraiser has not reviewed, endorsed, or certified Addendum B or any AI risk scoring content. Client agrees not to remove, obscure, or alter any disclaimers separating Addendum B from the certified appraisal, and shall not represent to any court, tribunal, borrower, or third party that the AI Employment Risk Intelligence is an AACI-certified professional opinion or forms part of the appraiser's scope of work.
Third-Party Data. Our reports incorporate data from public registries, court filings, corporate databases, and other third-party sources. DataStars does not guarantee the accuracy, completeness, or timeliness of third-party data.

To the maximum extent permitted by applicable law:
(a) DataStars' total aggregate liability to you for any and all claims arising out of or related to these Terms or our services shall not exceed the amount you paid to DataStars in the twelve (12) months preceding the claim.
(b) In no event shall DataStars, its officers, directors, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or damages arising from reliance on any report, score, or analysis, regardless of whether DataStars was advised of the possibility of such damages.
(c) DataStars is not liable for any decision made by you or any third party based on our deliverables, including but not limited to lending decisions, settlement decisions, litigation strategy, or enforcement actions.
(d) The limitations in subsections (a) and (b) above shall apply to the maximum extent permitted by law, but shall not apply to damages arising from DataStars' gross negligence, willful misconduct, or fraud.

You agree to indemnify, defend, and hold harmless DataStars AI Inc., its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our services; (b) your breach of these Terms; (c) your violation of any applicable law; (d) your use of any report or analysis for a purpose not authorized under these Terms; (e) any dispute between you and a third party related to data you submitted to DataStars; or (f) any claims, regulatory actions, or lawsuits brought by a borrower, guarantor, government body, or regulator alleging violations of consumer reporting, credit reporting, privacy, or human rights legislation arising from the Client's use, distribution, or misuse of DataStars' deliverables.

Each party agrees to keep confidential all non-public information received from the other party. DataStars will treat all client-submitted data, file details, and report contents as confidential. You agree to treat DataStars' methodologies, pricing structures, and proprietary processes as confidential. This obligation survives termination for a period of three (3) years.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed; or (d) is required to be disclosed by law, regulation, or court order.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, sitting in Toronto.
For clients located in British Columbia, you consent to the jurisdiction of Ontario courts and waive any objection based on inconvenient forum, provided that nothing in these Terms limits any rights you may have under the laws of British Columbia that cannot be contractually waived.

Either party may terminate the relationship at any time. Termination does not affect any obligation that accrued prior to termination, including payment obligations, confidentiality, indemnification, and limitation of liability. Upon termination, your licence to use any DataStars deliverables continues only for reports already delivered and paid for.

We may update these Terms at any time by posting the revised version on datastars.ca. Material changes will be communicated via email to active clients. Continued use of our services after any modification constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

These Terms, together with any order forms, engagement letters, or statements of work, constitute the entire agreement between you and DataStars with respect to the subject matter hereof.
